Basic Policy
Our Group's philosophy is “... planning the Future: developing people and creating the future.” Guided by this principle, we aim to become a corporate group that is truly indispensable to the world. We consider strong corporate governance to be a critical management priority.
To ensure fairness and effectiveness in management across all levels, we have centralized our compliance systems under the holding company. This enables us to focus the functions of the holding company on group-wide management and strengthen governance across the entire organization.
1.Securing Shareholders' Rights and Ensuring Equal Treatment
We take appropriate measures to ensure that shareholders' rights, including voting rights at general meetings, are substantively secured.
2.Appropriate Collaboration with Stakeholders Other Than Shareholders
Based on our Group's philosophy, we will continuously expand our corporate value by complying with our code of conduct and principles of action, and acting with sincerity toward all stakeholders, including customers, clients, shareholders, and employees.
3.Appropriate Information Disclosure and Securing Transparency
We will appropriately disclose information based on laws and regulations, and will also actively work to provide information other than that required by law, as well as non-financial information.
4.Responsibilities of the Board of Directors, etc.
The Board of Directors is responsible for formulating the basic policies and strategies of the Group and for managing and supervising its operating companies. It is positioned and operated as a body that makes decisions on business operations for the entire Group and supervises the execution of business by the executive directors. Furthermore, the external directors are responsible for strengthening management discipline and further enhancing transparency.
5.Dialogue with Shareholders
We place great importance on dialogue with shareholders to maximize the Group's corporate value and respond to requests for dialogue from shareholders at any time. Dialogue with shareholders is conducted by the IR department of the Corporate Division and senior management as necessary.
